By checking this box, I agree to terms & conditions provided by the Burrow & Scheidell Art Academy for Affiliate Member Agreement to the INTEGR8ART programs (INTEGR8ART Full, After School Program, and Home School Program).

This Affiliate Member Agreement ("Agreement") is made and entered into as of [Affiliate Account Created] by and between Burrow & Scheidell Art Academy ("BSA Academy", "we", or "us") and [AFFILIATE NAME provided in account creation] ("Affiliate", "you", or "your").

WHEREAS, BSA Academy desires to market and sell INTEGR8ART and INTEGR8ART After School Programs ("Programs") through an affiliate program; and

WHEREAS, Affiliate desires to participate in such affiliate program;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Affiliate Program

BSA Academy agrees to allow Affiliate to participate in its affiliate program for the Programs. Affiliate will market and promote the Programs to potential customers ("Customers") using methods approved by BSA Academy.

2. Commission

Affiliate will earn a commission of 25% of the net sales price of each Program purchased by a Customer referred by Affiliate. If Affiliate Member takes the provided training in our portal, with completion, $100.00 will be added to your first commission only. Commissions will be paid on the 30th of the month following receipt of payment from the school for the Program. There are no minimum sales requirements for payout to Affiliate.

3. Payment

BSA Academy will pay Affiliate commissions via [PayPal] to the address provided by Affiliate. Affiliate is responsible for providing accurate payment information.

4. Affiliate Responsibilities

• Marketing and Promotion: Affiliate will market and promote the Programs in a professional and ethical manner, consistent with BSA Academy's brand and values.

• Approved Materials: Affiliate may use marketing materials provided by BSA Academy. Any materials not found in the BSA Academy media library must be approved by BSA Academy owners prior to use.

• Affiliate Links: Affiliate must use the assigned affiliate links provided by BSA Academy for each Customer referral to ensure proper tracking and commission credit.

• Webinar Attendance: Affiliate understands that webinar attendees will be instructed to contact the Affiliate who referred them for purchase or follow-up.

5. BSA Academy Responsibilities

• Training and Support: BSA Academy will provide Affiliate with training and resources to effectively market and promote the Programs. This includes access to a media library, informational webinars, promotional videos, and long-form presentations.

• Regular Q&A: BSA Academy will conduct regular question and answer sessions to address Affiliate inquiries and provide ongoing support.

6. Term and Termination

This Agreement shall commence on the date first written above and shall continue until terminated by either party upon 30 days written notice to the other party.  

7. Termination for Cause

This Agreement may be terminated immediately by either party upon written notice to the other party if the other party:

• Breaches any material provision of this Agreement and fails to cure such breach within 30 days after written notice of the breach;  

• Becomes insolvent or bankrupt; or

• Ceases to conduct business in the ordinary course.

8. Effect of Termination

Upon termination of this Agreement for any reason:

• Affiliate shall immediately cease all marketing and promotion of the Programs;

• BSA Academy shall pay Affiliate any outstanding commissions earned up to the date of termination; and

• Affiliate shall promptly return all confidential information and marketing materials to BSA Academy.

9. Independent Contractor

Affiliate is an independent contractor and not an employee, agent, or partner of BSA Academy. Affiliate shall not have any authority to bind BSA Academy or incur any obligations on BSA Academy's behalf.

10. Intellectual Property

All intellectual property rights in the Programs and BSA Academy's marketing materials belong to BSA Academy. Affiliate shall not acquire any rights in such intellectual property by virtue of this Agreement.

11. Confidentiality

Affiliate agrees to hold confidential all information received from BSA Academy in connection with this Agreement, whether or not marked as confidential.

12. Disclaimers

BSA Academy makes no warranties, express or implied, with respect to the Programs or the affiliate program, including any warranty of merchantability or fitness for a particular purpose.

13. Limitation of Liability

In no event shall BSA Academy be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement, even if BSA Academy has been advised of the possibility of such damages.  

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California.

16. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

or to such other address as either party may designate in writing from time to time.

17. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party.

18. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.  

19. Amendments

This Agreement may be amended only by a writing signed by both parties.
